Those who, as de facto or de jure directors of a company issuing securities traded on the stock markets, falsify the economic-financial information contained in the issuance prospectuses of any financial instruments or the information that the company must publish and disseminate in accordance to the securities market legislation on its resources, present and future activities and businesses, with the purpose of attracting investors or depositors, placing any type of financial asset, or obtaining financing by any means, will be punished with a prison sentence of one to four years, without damage of the provisions in the article 308 of this Code.

In the event that the investment, deposit, placement of the asset or financing is obtained, with detriment to the investor, depositor, acquirer of the financial assets or creditor, the penalty in the upper half will be imposed. If the damage caused is notoriously serious, the penalty to be imposed will be one to six years in prison and a fine of six to twelve months.
